M/s IZNA SYSTEMS PRIVATE LIMITED, a company incorporated under the Companies Act, 1956, and having its registered office at A-503, Blue Bell Anand Nagar, Dahisar East, Mumbai - 400068 (hereinafter called "IZNA") owns and operates the website www.izzideals.com (hereinafter called "IZZI DEALS"). For the purposes of this document, IZNA and IZZI DEALS may be used interchangeably.
- DEFINITIONS
- 1.1 "Affiliates" shall mean those individuals or commercial entities that would source deals for IZZI DEALS from Merchants.
- 1.2 "Business day" means any day when the Merchant is open for business excluding Saturday, Sunday and bank holidays.
- 1.3 "Deal" or "Offer" means any promotion offered by the Merchant to the Users of IZZI DEALS.
- 1.4 "Intellectual Property" means patents, copyright, trademarks, service marks, designs and other similar rights or obligations whether registered or not in any country.
- 1.5 "MCoupon" or "Mobile Coupon" means a SMS containing information including, but not limited to, a short description of deal, an unique coupon code and coupon expiry details sent to the user in response to a request by the user for a particular deal.
- 1.6 "Merchants" shall mean those commercial entities which offer deals on goods or services or undertake any commercial activity on IZZI DEALS.
- 1.7 "Merchant Code" is a code chosen by each Merchant at the time of registration to uniquely identify itself for IZZI DEALS Services.
- 1.8 "Referee" is a User or a Merchant who registers with IZZI DEALS upon being referred by another User or Merchant already registered with IZZI DEALS.
- 1.9 "Referrer" is a User or a Merchant registered with IZZI DEALS who refers other potential Users or Merchants to register with IZZI DEALS.
- 1.10 "Rewards" are virtual credits offered to the User for redeeming MCoupons, referring other Users and Merchants and successfully claiming refund as per the Terms & Conditions. Rewards are maintained in an account maintained by IZZI DEALS and can be redeemed for benefits including, but not limited to, mobile recharges and gift vouchers. Rewards may be denoted as IzziBucks or Reward Points or any other term that IZZI DEALS might wish to use.
- 1.11 "Short Code" means and includes the short code 56767 through which the Services shall be accessed by the Users.
- 1.12 "Services" shall mean all services offered by IZZI DEALS including, but not limited to, the SMS-based deals service.
- 1.13 "User" shall mean any individual mobile or internet user who is registered on IZZI DEALS to avail its services.
- GENERAL TERMS
- 2.1 If a User is registered on IZZI DEALS, it will be construed that the User has read and unconditionally accepted the Terms & Conditions defined herewith. If the User does not agree with the Terms & Conditions, the User may discontinue the use of Services and other facilities available at www.izzideals.com.
- 2.2 IZZI DEALS may change or discontinue any of the Terms & Conditions and the Privacy Policy without prior notification to the User. It is advisable that the User checks the Terms & Conditions regularly to be aware of any modifications. If the User continues to use the Services offered by IZZI DEALS, it may be interpreted as acceptance of the modified Terms & Conditions and Privacy Policy.
- 2.3 IZZI DEALS may also change or discontinue any aspects of the Service including, but not limited to, features, content and settings.
- 2.4 IZZI DEALS has complete and sole ownership of the data generated during the course of provision of the Services.
- USER BEHAVIOUR
- 3.1 The User may not publish or transmit any content, photograph, video, sound recording using IZZI DEALS that is obscene, vulgar, irreverent, libellous, intruding privacy rights of third party orin violation of any law of the country which amounts to criminal prosecution or civil liability, in which IZZI DEALS offers its Services. The User may not use the IZZI DEALS for other activities including, but not limited to, religious, political, commercial or non-commercial activities that are not part of the Services offered by IZZI DEALS.
- 3.2 IZZI DEALS reserves the right to suspend or terminate access of any User to its service without notice, if in the IZZI DEALS sole discretion the User violates any Terms & Conditions or undertakes activities which hurt the business interests of IZZI DEALS either directly or indirectly.
- 3.3 The User is also expressly prohibited from posting any virus, Trojan horse, disabling code or any other malicious and frivolous content that is harmful to IZZI DEALS, its other Users or any other third party.
- 3.4 Any order placed by the User is for his/her personal use. The User shall not re-sell or offer to sell the goods or services purchased through IZZI DEALS and shall utilise the services or the goods only for their personal interest.
- 3.5 The User shall protect his account by changing the account password frequently. Transmission of any information over the internet is considered insecure. Therefore, any loss of data, information, material or any other content provided by the User shall be at User's risk and IZZI DEALS shall not be responsible for any loss or damages arising out of their interaction with IZZI DEALS.
- REQUEST AND REDEMPTION OF COUPONS
- 4.1 The Services offered on IZZI DEALS will be available to only Users who are registered with us.
- 4.2 Registered Users may request for MCoupon by following the process described on the IZZI DEALS website.
- 4.3 The MCoupon can be redeemed for goods or services offered under the Deal listed on IZZI DEALS directly with the Merchant by the User at his/her own cost.
- 4.4 The Terms & Conditions associated with a Deal will be listed on the IZZI DEAL website and will not be sent as part of the MCoupon. It shall be the sole responsibility of User to read and understand the Terms & Conditions before requesting for MCoupon.
- 4.5 The User may not combine the Deal offered in MCoupon with any other Deal or Offer, unless stated otherwise.
- 4.6 The User shall not be entitled to any benefits or reimbursement including cashback if he/she fails to redeem the MCoupon within the time limit as mentioned in the MCoupon.
- 4.7 Neither IZZI DEALS not the Merchant shall be liable for the loss of MCoupon due to reasons including, but not limited to, deletion of MCoupon and formatting of mobile device.
- 4.8 IZZI DEALS' sole responsibility is limited to ensuring that valid MCoupons issued by IZZI DEALS for the Deal offered by Merchant is honoured by the Merchant in accordance with the terms and conditions as attached to the respective Deal. IZZI DEALS shall investigate on its own if the Merchant fails or refuses to honour the Deal subscribed by the User. In the event of proven violation of this clause, the maximum liability of IZZI DEALS is limited to refunding the amount spent on the SMS request by the User in the form of Rewards to the account of the User maintained with IZZI DEALS within a period of five working days of proven violation.
- 4.9 IZZI DEALS is a platform for enabling interactions between Users and Merchants. The User acknowledges and agrees that the Merchant and not IZZI DEALS is the seller of goods and services. IZZI DEALS issues MCoupons that can be redeemed by the User against the purchases made for the respective goods and services offered by the Merchant.
- 4.10 IZZI DEALS does not guarantee the quality of goods or services offered by the Merchant. IZZI DEALS shall not be responsible for any direct, indirect, punitive, consequential or any other loss of similar nature to the User or his/her relative or acquaintance during the course of the interaction between the User and the Merchant.
- 4.11 IZZI DEALS MCoupons are valid only for one-time use, unless specified otherwise. Consequently, the MCoupon becomes invalid once the unique MCoupon code is validated against the IZZI DEALS records by the Merchant. It shall be the sole responsibility of the User to not share the unique MCoupon code with anyone else. IZZI DEALS shall not be liable if the MCoupon presented by the User is invalid due to prior redemption.
- 4.12 To prevent frivolous requests, IZZI DEALS may limit the number of MCoupon requests by a single User. IZZI DEALS may also suspend or terminate the account of the User if IZZI DEALShas sufficient grounds to believe that the User is sending frivolous requests with malicious intent.
- REFERRAL AND REWARDS
- 5.1 We offer Rewards to Referrers who refer Referees to register with us.
- 5.2 The Referrer shall be entitled to the Rewards only if the Referee successfully registers with IZZI DEALS and explicitly enters the Referrer'sdetails in the 'Referred By' field of the User or Merchant registration form. The details to be entered in the 'Referred By' field are the mobile number if the Referrer is a User or Merchant Code if the Referrer is a Merchant.
- 5.3 It shall be the sole responsibility of the registering User to enter the relevant details in the 'Referred By' field. If this field is left blank, IZZI DEALS may assume that the User was not referred by anyone. IZZI DEALS shall not entertain any request for giving Rewards to a Referrer, if the registering User violates any other provision of these Terms and Conditions.
- 5.4 When a User successfully redeems a MCoupon, IZZI DEALS shall offer Rewards to the User as per the prevailing rewards policy at that time. The Rewards shall be credited into a virtual account of the User maintained by IZZI DEALS. When the accumulated Rewards crosses the threshold set by IZZI DEALS, the User may redeem the rewards for benefits including, but not limited to, mobile recharges, gift vouchers of certain value defined in terms of the Rewards. For example, a mobile recharge of Rs. 50 may be redeemed upon accumulation of 60 IzziBucks.
- DENIAL OF SERVICE
- 6.1 IZZI DEALS shall not be liable for denial of service to the User in the following cases:
- 6.1.1 Failure of network connectivity including, but not limited to, internet connectivity while accessing the IZZI DEALS website, telecom connectivity while sending and receiving messages.
- 6.1.2 Overloading of IZZI DEALS servers due to heavy traffic.
- 6.1.3 Unavailability of Service due to routine maintenance activities.
- 6.1.4 Blocking of messages or data connection to comply with law or regulation such as TRAI's Nation Call Preference Registry.
- 6.1.5 Inappropriate, wrong, misleading or incomplete information or declaration provided by the User.
- 6.1.6 Any other reason which is beyond the reasonable control of IZZI DEALS.
- INTELLECTUAL PROPERTY RIGHTS
- All rights, title and interests in the use of trademark IZNA Systems Pvt Ltd and IZZI DEALS and any material used by IZNA and IZZI DEALS in the provision of the Services shall exclusively belong to IZNA or its licensors, as the case may be ("IZNA Proprietary Material"). Any and all Intellectual Property Rights with respect to the Services and the IZNA Proprietary Material and all modifications, improvements, enhancements, or derivative works made thereto, shall always belong to IZNA or its licensors. Any transactional data generated during the course of provision of Services shall be IZNA's exclusive property. The User is explicitly prohibited from copying, reproducing or using any content from the website of IZZI DEALS for his/her own personal or commercial interest, unless otherwise agreed by IZZI DEALS in writing. By submitting any material to the IZZI DEALS, the User hereby grants an irrevocable, perpetual, worldwide, royalty free, non-exclusive license and right to use, modify, copy, publish, edit, translate, distribute and incorporate such material for IZZI DEALS own interest and use including the right to sublicense these rights to third parties.
- WARRANTY AND LIABILITY
- 8.1 The User agrees that the use of Services offered on IZZI DEALS is at User's sole riskand discretion.
- 8.2 IZZI DEALS makes best efforts to ensure that the content and information on the website is accurate. However, given that several third parties such as otherUsers and Merchants will also generate and publish content and information listed on IZZI DEALS, IZZI DEALS shall not be liable for any direct, indirect or consequential loss to any third party on account of the content being inaccurate, incomplete or misrepresented. IZZI DEALS reserves the right to remove without notice any content or information which it deems to be incorrect, incomplete or misrepresented.
- 8.3 IZZI DEALS shall not be responsible for denial of service due to reasons listed in clause 6.
- 8.4 IZZI DEALS shall not be responsible for any damage to the User's computers, tablets, laptops, notebooks or mobile devices or loss of data during the course of using the Services offered by IZZI DEALS.
- 8.5 IZZI DEALS DOES NOT EITHER EXPLICITLY OR IMPLIEDLY GUARANTEE OR WARRANT CONTINUITY OF SERVICE, AUTHENTICITY, TITLE, WARRANTY OF NON-INFRINGEMENT, ACCURACY, USEFULNESS, FITNESS OR MERCHANTABILITY FOR A PARTICULAR PURPOSE OF THE CONTENT AND INFORMATION PUBLISHED ON THE WEBSITE. ANY INFORMATION OR CONTENT PUBLISHED ON IZZI DEALS IS ON AN "AS IS BASIS".
- INDEMNIFICATION
- The User agrees to indemnify and hold harmless IZZI DEALS against all losses, damages, costs and expenses suffered or incurred (including the costs of defending or settling any actions, claims or demands) arising out of a breach of these Terms & Conditions.
- TERM & TERMINATION
- 10.1 Unless IZZI DEALS chooses to terminate the Term & Conditions, they shall exist in perpetuity.
- 10.2 IZZI DEALS may terminate any User or Merchant account without notice at its sole discretion.
- 10.3 In the eventuality of termination of any User or Merchant account, IZZI DEALS reserves the right to but shall not be obligated to remove content and data related to the account.
- 10.4 The provisions of these Terms and Conditions which ought to survive the termination of these Terms and Conditions shall so survive the termination.
- PRIVACY POLICY
- Any information supplied by you to enable the provision of our Services shall be governed by the Privacy Policy as available on the website. You are advised to read the Privacy Policy carefully to understand our policies regarding collection, monitoring and usage of personal information.
- LINKS TO EXTERNAL WEBSITE
- Any links provided on the website of IZZI DEALS are to be used by Users at their sole discretion and risk. IZZI DEALS in no way endorses the usage of these external links and any product or services offered through these external links.
- MISCELLANEOUS
- If any of provision of this Terms and Conditions is held unenforceable or invalid, the remainder of this Terms and Conditions shall nevertheless be in full force and effect. If at any time a Party shall elect not to assert its rights under any provisions of the Terms and Conditions, such action or lack of action in that respect shall not be construed as a waiver of its rights under said provisions of this Terms and Conditions. The User shall not assign or transfer its rights and obligations under theseTerms and Conditions, or any rights and obligations hereunder to any third party, without the prior written consent of IZZI DEALS. The headings used in these Terms and Conditions are for ease of reference purposes only and shall have no legal effect whatsoever. In the event of a dispute, the aggrieved party may submit the dispute to arbitration under the provisions of Arbitration and Conciliation Act, 1996. The dispute shall be referred to a one arbitrator which shall be exclusively appointed by IZZI DEALS. The arbitration shall be in English and take place in Mumbai. The laws of India shall govern this Terms and Conditions. Both parties irrevocably submit to the exclusive jurisdiction of the Courts in Mumbai, for any action or proceeding regarding this Terms and Conditions.
